하나마이크론은 이사회를 열고 투자회사와 사업회사로 인적분할하는 안건을 의결했다고 공시를 통해 밝혔다.
이번 인적분할을 통해 하나마이크론은 투자회사 겸 지주사 역할을 맡을 하나반도체홀딩스(가칭)와 기존 반도체 후공정 사업을 담당할 하나마이크론으로 재편된다. 분할은 하나반도체홀딩스를 존속법인으로 두고, 하나마이크론을 신설법인으로 설립하는 방식으로 진행된다. 기존 주주들은 분할 비율에 따라 두 회사의 주식을 동일한 지분율로 배분받게 된다. 분할 비율은 하나마이크론 67.5%, 하나반도체홀딩스 32.5%로 결정됐다.
이번 인적분할은 하나마이크론의 지주회사 체제 전환의 첫 단계로, 사업과 투자 부문을 명확히 분리하여 경영 효율성을 높이기 위한 계획의 일환이다. 회사는 기존의 혼합된 사업 구조로 인해 기업 가치가 저평가되었다는 평가를 받아왔다. 이를 통해 각 부문을 독립적으로 운영하여 더욱 효율적이고 전문화된 경영을 실현할 방침이다. 또한, 사업 간 자금 조달 리스크를 분산시키고 기업 가치를 제고할 것으로 기대하고 있다.
하나반도체홀딩스는 지주사로서 브라질 법인과 투자 사업을 집중 관리하고, 장기 성장 전략을 수립하여 기존 사업과 시너지를 극대화하며 신성장 동력을 확보할 계획이다.
신설되는 사업회사 하나마이크론은 반도체 후공정 사업에 집중하며, 국내 및 베트남 법인 운영을 강화할 예정이다. 회사는 R&D와 생산설비 고도화를 통해 반도체 후공정 역량을 전문화하고 글로벌 경쟁력을 강화할 계획이다.
하나마이크론 관계자는 “이번 인적분할은 지주회사 체제로 전환하기 위한 첫걸음”이라며, “추가 절차와 다양한 방안을 검토하고 있으며, 지주회사 체제 전환을 통해 그동안 충분히 평가받지 못했던 기업 가치를 재조명하고, 글로벌 Top 5 반도체 후공정 그룹으로 도약할 것”이라고 밝혔다.
